Aphria Inc. APHA

Aphria, which is headquartered in Ontario, produces and sells medicinal and recreational cannabis. The company operates through retail and wholesale channels in Canada and internationally. Aphria is a main distributor of medical cannabis to Germany and has operations in over 10 countries outside of Canada. However, it does not have exposure to the U.S. CBD or THC markets due to the constraints of federal prohibition. It has some U.S. exposure through the acquisition of SweetWater, a craft brewer

With respect to the timing of the Company's rebuttal to the short seller's allegations, as you know, the Board appointed a Special Committee to review the LATAM transaction, the value of which was at the centre of the short seller’s thesis. The Board and the Committee understand the urgency of responding to these allegations in a timely and complete manner, but there was no deadline given to the Committee to complete their work. As I’m sure you can appreciate, the standard of care that we must take as a public company in responding to these allegations is much higher than the threshold that an unrelated party would be expected to satisfy. This means we can’t sacrifice thoroughness for expediency.

With respect to changes to the Company's senior management team, these changes will be announced once the Board has appointed new officers.

Regarding prospective alliances, the Company will announce all  material transaction, partnerships or alliances that it enters into with third party organizations but will not comment on speculation concerning such alliances.

I hope my comments give you some insight into how management has been addressing these issues.

John Sadler
