Strategy for AGM beyond no

1. Did a quick read, and have thumbnailed a possible strategy for we retail investors. Not sure its workable given the timeframe. But....the # of directors allowed on the board is 6 and mgmt has requested this be reduced to 4 ...mgmt has only nominated 4 directors defeating the proposed reduction would leave 2 seats open if bylaws allow 2 more directors could be nominated at the AGM and if proxies with enough votes were available at the meeting we could elect 2 shareholder frienly board members
2. i wrote the company for a copy of bylaws but of course have not received a reply ...unlikely i know but does anyone have a copy of the bylaws?
