I'm not a lawyer, but I'm fairly certain these types of "apparent" conflicts of interest must be disclosed up front, even if there is ultimately no actual provable conflict of interest. The lack of disclosure can be enough, in legal terms, to be regarded as an actual conflict of interest.

Let's suppose for a second there was nothing nefarious going on with Carson being part of the "independent advisory committee". How bloody myopic do you have to be as the Lead Director of a company to allow your son to sit on said committee? If I was actually for the Titan Minerals merger (and I'm most certainly not), I'd be livid with how the Board of Directors put the deal at risk in this way.
