and dont forget thats 66.66% of the votes cast not the float.  With 38% of the float locked in a yes vote you will need 13% of the float to vote NO just to offset the guaranteed yes, plus 1/3  of the remaining votes cast.  With 38% + 13% = 51% float required just to get back to a baseline vote, you will never get 51% of shares voting so its pretty much a done deal .
