Treatment of holders of Newstrike Options and Newstrike Warrants. In connection with the Arrangement, all Newstrike Options outstanding immediately prior to the Effective Date will be exchanged for Replacement Options which will thereafter entitle the holders to acquire HEXO Shares (rounded down to the nearest whole number) in lieu of Newstrike Shares, subject to adjustment in number and exercise price to give effect to the Exchange Ratio. Additionally, to the extent Newstrike Warrants are not exercised prior to the Arrangement Effective Time, upon the exercise of such rights, holders of Newstrike Warrants will be entitled to be issued and receive and shall accept for the same aggregate consideration, upon such exercise, in lieu of the number of Newstrike Shares to which such holder was theretofore entitled upon exercise of such Newstrike Warrants, the aggregate number of HEXO Shares that such holder would have been entitled to be issued and receive (rounded down to the nearest whole number) if, immediately prior to the Arrangement Effective Time, such holder had been the registered holder of the number of Newstrike Shares to which such holder was theretofore entitled upon exercise of such Newstrike Warrants.
