RE:RE:The Board

RE:RE:The BoardEcho, it looks like you have fallen for more Management Shennanigans, which goes to show how deceitful this management team and IR team are.  The only erroneous rumours being circulated are those coming directly from management, which is nothing new, as they have been lying about traction in the business for years.

The argument was that the board members have given themselves a raise, I suggest you go back and look at the numbers as this is not difficult to figure out.

The board is well aware that they gave themselves a raise and instead they tell you to go and look at total compensation in 2017 and 2018 which is not the argument.

Total compensation can be affected by many things, like your chairman leaving, or a board member dying or someone else resigning and then not finding a replacement for several months which will reduce your compensation expense.

Now unless this board intends to have more turnover, or reduce its size, the  more important factor is what they were paying board members before and after May 1st and have they raised their pay.

Before May 1st 2018 -
Chair 45.3k cash and 45k in stock and 11.3k assuming attended evey meeting = 101k

After May first
Chair 58k cash and 58k in stock and no money for meetings = 116k

So the chairman is getting a 15% raise for destroying 90% of the value of the stock

Other board members
Before May 1

22.65k in cash and 28.69k in stock and 11.3k if they attend every meeting = 62.6k

After may 1
35k in cash and 35k in stock and nothing to attend meetings =70k

All other board members get a 12% raise for destroying 90% of the value of the stock

ALso all heads of any committee get a raise as well.

SO the question is what has this board done to deserve a raise?  And the answer management gives you is a BOGUS we have reduced compensation which is an outright LIE, because going forward unless they reduce the size of the board compensation is going up!!!!

Why is this company so deceitful that they try and manipulate investors when they inquire as to why they were given a raise?

The whole board needs to go along with the management team the compensation of the board and the management team is so far out of whack it is laughable.
