NOTICE OF CHANGE OF AUDITOR
Notice is hereby given, pursuant to section 4.11 of National Instrument 51-102 Continuous Disclosure Obligations (“NI 51-102”), of a change of auditor of Imex Systems Inc. (the “Company”).
1. SRCO Professional Corporation, the former auditor of the Company, have resigned at the request of the Company effective April 23, 2019.
2. The Company’s Audit Committee and Board of Directors have considered and approved the resignation of the former auditor.
3. The Audit Committee also recommended and the Board of Directors approved the appointment of DNTW Toronto LLP (the “New Auditor”) as auditor of the Company to provide audit services to the Company for the year ending December 31, 2018 and to hold office as auditor of the Company until the next annual meeting of shareholders of the Company.
4. There have been no reservations in the auditor’s reports on the financial statements of the Company for the period during which the former auditor was the Company’s auditor.
5. In the opinion of the Company, there have been no “reportable events” (as defined in NI 51-102), including disagreements, consultations or unresolved issues.
