You've assumed SOW will stop trading - that's not what the news release says. The release indicates certain assets are being sold in return for 1.15 Agra shares. It would appear SOW (less these assets) will continue on - so the record date is critical as to whether, as a shareholder, you are entitled to these Agra shares. SOW needs to declare the record date - so the market can price accordingly. SOW and AGRA need to get that information to the market.
