It's simple.  They didn't have the votes.  They have been aggressively calling shareholders to get their vote.  I got called a few times.  If voting affirmative, they can take the vote over the phone.  If not, you had to do it yourself.  I voted via Proxyvote.com, getting the 16 digit number for my shares from my broker.

Fortunately, there appear to be a lot of peeved off shareholders with the self-serving deal by Pala Investemts and mgmt.  (Milewski gets around $10m as CEO if the deal closes.  He was MD at Pala so he likely also has a big stake there as well.  They fact that this isn't arms length transaction and he doesn't disclose his interests in Pala is a clear violation of Canadian securities laws, as far as I'm concerned.)

They are going to spend the next two weeks trying to get the necessary votes,  Whether this entails sweetening their remains to be seen.
