I think we are close on the idealogy but not the method.  "Is this consolidation to support a potential JV ?" was your question but I want that answer before voting yes.

CEO David has never issued a new release on what his vision, mission statement, plans etc are so I won't afford him the roll back without knowing what's going on. 

Tie it in to a right offering, make a JV deal and tell us we need a rollback to close it..  Tell us we need money post roll back to an outside group of investors that can advance the project.

Don't give carte blanche to roll back and then "good luck" on getting a pulse for the next few years.
Don't do it.. I have some experience in this matter.  Put pressue on David to deliver first.
