SOW has no liabilities on the approx 490 million AGRA shares it owns. 490 million x .24 current AGRA share price = $117.6 million FMV for SOW. If SOW distributes all the compensation shares it will have about 45 million AGRA left or about $10.8 million FMV. So prior to distribution if/when it occurs, SOW shareholders have SOW shares worth $117.6 million. After distribution, SOW shareholders will have $106.8 million in AGRA shares and $10.8 million in SOW shares whose value is comprised of the remaining 45 million AGRA shares that SOW would still own.
