what is 3.38 usd deal ?

what is 3.38 usd deal ?They don't mention if the 3.38 USD  value of the share from Lantronix is grounded until they sign the deal, if Lantronix share value devaluates we will short in money, it will not anymore a deal value of 1.68 CAD for Intrinsyc shares, something I don't understand, anybody knows what i'm talking about? because now , Landronix share value is 3.17 USD.
