It't true that Eric has stepped down as Chairman of KL, but he's an influential major shareholder of KL. The reason fo his stepping down was (" too much work to be a chairman, since he has to read everything..."), but the real reasons could be that he's now 75 years old and he may wanted to "play" with his own money, rather than taking care of other people's problems. But, specifically, as a smart investor, he does not want to get caught in a conflict-of-interest situation during a TO where he has cross holdings in various companies. Its the perception he want to create, but influence on KL? Technically, he holding does not exceed 10%, but he has plenty of power pulling strings with his 8% KL (uncle Eric owns, 7%DGC, 25%Wm, and 4%BAR).

ES certainly has many tentacles around DGC, WM and BAR. But Foulkes forgot to mention the main actor KL (ES owns ~10%). Hence if ES supports the KL/DGC deal, then it would be a done deal. So, to avoid potential complications, they would wait for this deal to be consummated. During the meantime, WM would take a run at BAR and then KL would have a TO of WM later in the new year? Just my speculation.

You're forgetting a few things. Eric only hold 8% and he's no longer the chairman (not on the KL board) so he can't tell them what to do. I don't see KL even going for anything without significant infrastructure ore even a defined resource. Maybe in 2-3 years
