Titan Minerals Lied to Investors - Repeatedly Once a liar, always a liar. Titan Minerals have played fast and loose with the truth in the past, no reason to assume that Titan has "turned over a new leaf" currently.
The same might be said about certain members of Core Gold's board of directors, but I'm still willing to give them all the benefit of the doubt that this time around, they will do the right thing and not assist Titan MInerals with their attempted takeover of Core Gold's assets.
Unfortunately, with the series of events surrounding the Vertex Promissory Notes, I have strong lingering suspicions that one or two individuals within Core Gold's board and / or management may not be fulfiulling their responsibilities.
Anyhow,
Have a look at Page 7 of the circular that Titan issued. (Page 13 if using the PDF page numjbers)
https://www.investi.com.au/api/announcements/ttm/1e3e2f55-e2e.pdf - Management of the Offerer. Quite the mealy-mouthed retraction of the FACT that Titan lied to prospective investors when Titan included Dr. Miguel Cardozo as their CEO. Dr. Cardozo was only a director of Titan's former incarnation Minera Gold Ltd for about 7 weeks, between April 8, 2015 and May 27, 2015.
Titan admits that it used Dr. Cardozo's name as their CEO in their prospectus that was used to raise A$6 million in the funding of Titan MInerals.
Isn't it wonderful, once Titan was caught in this false and misleading statement, that they now have the convenient excuse that :
- the Offerer's prospectus dated August 18, 2017 did disclose Dr. Cardozo as the Chief Executive Officer of the Offerer and an Octocber 2017 presentation ("Piror Disclosures) did include the same description. "Dr. Cardozo should instead have been listed as the "proposed" Chief Executive Officer as there were discussions but no final agreement that Dr. Cardozo would assume that role; and ...."
The Offerer acknowledges that the Prior Disclosure should have explicitly stated that Dr. Cardozo was the "proposed" Chief Executive Officer. However, the Offerer does not consider this misstatement to be material in any event 9 nor the fact thet he wasnot ultimately engaged by the Offerer) and denies that the Offerer held Dr. Cardozo out as an officer of the Offerer in order to raise equity funding." It's a little late in making that type of retraction, don't you think ?
"Oh dear, sorry mates, we forgot to use the word "proposed" in not just two, but three separate documents."
As far as I'm concerned Dr. Cardozo's name and reputation were used to help raise funding for the new Titan MInerals. How do they say it in Australia ...... Not fair dinkum ...?!?!?
https://www.investi.com.au/api/announcements/ttm/2f6553bf-621.pdf Refer to this past post from May 15, 2019.
https://stockhouse.com/companies/bullboard?symbol=v.cgld&postid=29749138 Titan used Dr. Cardozo's name repeatedly ... on at least THREE separate ocassions and the links in the above referenced post are all still active links on Titan MInerals website. Titan failed to mention that they also used of Dr. Cardozo's name in the Supplementary Prospectus.
DO NOT TENDER TO THE TITAN MINERALS OFFER
