Claritas Pharmaceuticals Inc V.CLAS.H

Alternate Symbol(s):  CLAZF

Claritas Pharmaceuticals, Inc., formerly Kalytera Therapeutics Inc, is a biotechnology company that is focused on developing R-107 for the treatment of vaccine-resistant coronavirus disease (COVID) strains. The Company’s products in development include R-107 for coronavirus disease and Viral Infections, R-107 and Vaccines, and CLA-1816 for treatment of pain. R-107 is designed to defeat COVID viruses on contact. R-107 targets the Achilles heel of COVID, the spike protein on the surface of the virus. R-107 releases nitric oxide, which attaches to a specific amino acid on the spike protein, thereby disabling the spike protein. The CLA-1816 provides effective pain reduction, without the risks of addiction or respiratory suppression that exist with opioid analgesics. CLA-1816 strongly binds with and activates the alpha3 glycine pain receptor in the spine. The Company has leased a laboratory, office, and archival space in Beverly, Massachusetts.

RE:Expect an announcement between Dec 13-Dec24th

RE:Expect an announcement between Dec 13-Dec24thWell written and I completely agree. For those wondering why the SP hasn't continued moving North in antispitation I would add this:

1) Most investors are tapped out on KLY already 2) KLY has been lumped in with Cannabis stocks and therefore has taken a beat down during the sector wide freefall 3) KLY is sitting in the TSV.V where the index is sitting at all time lows. 4) nothing is definitive as of yet. 5) Every time the stock has popped in the past, it has been met by heavy selling and shorting (until it doesn't....)

Personally, I think the risk to reward ratio here is skewed heavily to the reward side. The issues listed above have clouded the true value of this company, and there is only one way the value will be brought to light and that is through a strong partnership or buyout. Next week should be very interesting and rewarding. GL

1.) I continue to believe that this process is being done very similar to other ones I have either witnessed or participated in. (Namely to get the bidding process done in Oct/Nov, with the term sheet and the start of the contractual agreement done in Dec)  Why?  Because any partner / Acquirer will want to write off expense tied to a deal against 2019 profitability, so they will pay less taxes in a few months

2,)  Anyone familiar with the financial closing cycles in corporations, KNOW that Dec is a very difficult time period.  They not only have to close the quarterly report, but an annual report all at the same time that accountants want to take off the Dec 25-to Jan 1st time period.   I also know things such as deals have a MAJOR impact in those statements and require about a week to process.  That leads me to the following:

BEST CASE: They have completed the term sheet early and could announce tomorrow, either before or after the market opens or closes

WORST CASE: They let is drag out a bit and announce around Dec 24th, with a LOT of angry accountants working overtime through 2 holiday periods &

THE MOST LIKELY SCENARIO: That Mgmt / board will meet over the weekend and we will hear something Dec 16-Dec 18th.

As state before, I see announcements like:
- the "MULTIPLE unsolicited inquiries"
- The repeated comments about "multiple" people still being involved, the "S" added to possible PARTER (S) in the recent financial report
- the timing - Dec 15th which would niccely match accounting cycles
- the detailed roadmap expected (1st qtr close, approach to Talent,e tc..)
- The stock options which were granted to mgmt/board
- The last minute investment by an executive
- etc..

as VERY telling.  If something DOESN'T happen, it will be the first time in 45 years that I have seen  something this clearly communicated fall through.

Hoping for Christmas cheer for all the longs and coal for the SHORTs. (They might need it)

PS  I expect a LOT of SQUIRMING & SQUEALING from our trapped SHORT over the next few days, as well as a LAST DITCH EFFORT to knock the prices down in the market so they can cut their losses.  However, time has simply run out for such a thing to work.  If they give me additional opportunities to buy, I will use them ! (They were expected)
