Actually, that a pretty standard clause for any mergers.

All it's saying is Ausa won't go and solicit another company to compete with Folium and vice versa. Pretty standard. Without that clause, Ausa can go seek another partner with better terms and vice versa.

Didn't have time to read the entire thing yet but looks like it's just laying out broad terms and definitions. I'm more interested in Folium's books.
