Other than it has been rushed, and votes are being held during christmas holidays, and that there really no reason to be selling the company at this point in time, certainly not at the discount it is being given away for.
If any shareholder wanted out of their position they could have sold at any time - unless they held a significant position, in which case trying to get rid of them would likely result in a further erosion of the share price, and less ROI.
So this deal gets some large positions taken out at an established price.
Go back and read Tracys letter in Q3 - there is nothing there but good news and optimism. Most of the drag of the last few years is out of the way.
Its not like Lantronix is guaranteed growth - its a heck of a lot more speculative than staying the course with ITC.
This deal has nothing to do with shareholders or management desires - its to benefit a few large holders.
It might get additional support as a result of the significant downside built it if it fails - courtesy of the Special committee.
