RE:RE:Please tell the company "No" to spinning off our...this is definitley not isolating our Treaty Creek holding from the devaluation of dilution, just the opposite!
The market is giving no value for all our other properties, absolutely nothing. If you take into consideration, that we even fail to get a fair valuation for our 20% Treaty Creek compared to AMK and Tudor, one could go that far to say, the valuation for all the other properties is negative.
The Del Norte deal is a nightmare from my pount of view. The only positive but absolutely most important is, that it prevents us from any dilution. So why should we need one million $ from the market? For another Pearson, Big Gold, Del Norte,...? They have nothing to do than to do nothing, just sit there and wait for K2 to do his job.
- Shareholders of Record, principals of Spinco and those subscribing to SpinCo’s initial public offering and/or financing would own approximately 50% of SpinCo... ==> this means dilution of TC, not the devaluation from it
- The administrative, accounting and legal costs associated with preparing for a spin-out submission are significant. ==> dilution!!!
- Teuton receives around half of that payment through its 50% ownership which would likely be retained as future exploration/working capital ==> means 50% disappear together with the nsr and nobody knows the result. These 50% will be spent over the years for ...?
- A spin-out of Treaty Creek is expected to be funded with working capital to cover operational costs for the next 24 to 36 months, reducing chances of additional dilution; ==> a horrible joke, TUO has money from option payments, warrants and options. Now the spinoff, needs extra money for operational costs. There will be directors to be paid, overhead, options for employees...
I am deeply disappointed over the last years, not only by the exploration results but as well how how they handle these things. I am holding TUO because of Treaty Creek and only because of Treaty Creek. If I see my share of TC disappearing somewhere, I will reduce my TUO holdings significantly and switch to TUD, .
