If they don't get financing they will lose their key employees and licenses. This is a critical loan that they must have. The application to the court is to set up legally to start the process to either restructure or sell all or part of the company as required. A merging partner has not backed out as you imagine. This could be the start of a possible bidding war for someone to buy the whole company.
