If anybody still has the hard copy, Section 6.2(4) is on page C66 and the definition and exclusions are on page C-7. Kudos to Cineplex's lawyers. Looks very, very good for Cineplex as it seems the only way Cineworld could get out of this deal is if Cineplex fared worse than its competitors under the same difficult market conditions. Given that Cineplex management has been very strong, this would be next to impossible to prove. This is a very, very good deal for both companies and they have both incurred significant costs getting this done. To throw that all down the drain, pay a termination fee and potentially do the deal another 12 months from now would leave Cineworld with more egg on their face than if they just admit that they didn't see this Covid-19 coming (who did?). They're going to look really smart in a year or two, having Cineplex under their ownership.
