Yes and No.  Alain, that depends on the purchase price.  Yes, if the purchase price is less than the creditors (verified) liability i.e. existing shareholders get nothing.  But, if the purchase price is more than the creditor's liability, shareholders get money for their shares.   Also, a refinancing option can exclude existing shareholders.  We can create newco without equity from existing shareholders and refinance newco.  It is not the silver bullet.   It is important to be open to all offers including buyouts to maximize shareholders return.
