Need some finance expert advice here

Need some finance expert advice hereI probably have figured out the reason of this odd behavior of Crew's Share price. 
After looking at the Crew's AGM and Voting forms which I just opened, the resolution number #4 quotes: "To consider and approve a special resolution to reduce the stated capital of the Corporation's common shares".

This is where I need expert advice. From what I understand a company would bring such resolution when a takeover/merger is looming OR someone wants a part of the company purchased. In such case, the buyer would prevent the stock price to go up because the company sale transaction would happen at certain % of the market price at that time. If I am correct then Crew would ask it's Shareholders to surrender their shares at certain fix price. It could be 2x or 3x the share price, and which is why a particular group is preventing the sp to go up and putting a lid.

I could be completely wrong in my understanding. Some corporate finance expert could help in cracking this mystery.
