Every insider will vote 'yea' because it's good for them to do so. Their goal is to make the company survive by positioning themselves so that they can raise more funds. It's not to appease the retail shareholders.

Also, wouldn't a private placement serve the same purpose if "management feels there is too many outstanding shares for the size of the company"......issue a private placement at a 7 cents and call it a day. hell...do it at 6 cents to make it appealing. we've hit there before.
