Surge Energy Inc. is a Canada-based oil focused exploration and production (E&P) company. The Company's business consists of the exploration, development and production of oil and gas from properties in Western Canada. It holds focused and operated light and medium gravity crude oil properties in Alberta, Saskatchewan and Manitoba, characterized by large oil in place crude oil reservoirs with low recovery factors. It offers exposure to two of the five conventional oil growth plays in Canada: the Sparky and SE Saskatchewan. It holds a dominant land position and is drilling a mix of horizontal multi-frac and horizontal multi-lateral wells in the Sparky area. Sparky is a large, well established oil producing fairway in Western Canada. SE Saskatchewan is a focused operated asset base with light oil operating netbacks. SE Saskatchewan operates low-cost wells with short payouts and offers potential for continued area consolidation.

I would hazard a guess and say a simple share swap. The problem is how many Surge shares for 1 HWX share? 
If we take the Pandemic out of the equation, then we would be looking at a 1 to 1 ratio, in my opinion.
What is odd about the overall Headwater share count is that in the original Transaction NR dated January 13th, the new management team proposed to do "a consolidation of the Common Shares on the basis of one post-consolidation Common Share for every three pre-consolidation Common Shares". But, by the time that the Management Information Circular was released on February 6th, that proposal had disappeared!
The final observation that I might add is that National Bank is deeply involved with both Headwater and Surge and I simply do not trust them! Their involvement with the Knowledge House fiasco is a prime example of their business ethics!
