I don't see why this is a "weird offer". Basically, BAM wants to buy more of BPY and is willing to offer $12USD.

Only reason the share price would be below the offer is if the market believes that the offer will be oversubscribed. Otherwise, you could buy shares now, tender them and make a good profit (dividend for the month of July + the difference in price).
