However, if I read this correctly from their Financial report: "The Company entered into a non-binding memorandum of intent with Oropass to form and invest in a joint venture with Oropass on a 50% basis each to market certain intellectual property in the European Union ("EU Licensing Rights MOI")."

Am I correct in that there is yet to be a binding contract on this venture? If so, what happens if that falls through?

Maybe I missed a subsequent announcement? I'm here because I don't mind risk, but this seems to be a fairly risky bet if that contract isn't reached OR they don't raise the cash needed for the JV: "Formation of a joint venture is subject to the Company securing joint venture seed funding on or before August 1, 2020 and execution of a joint venture shareholders' agreement between the Company and Oropass."

So... help me out, what don't I understand?

So, this is the way I look at it. 2 outcomes.. One, with all the insider trading, insiders heading for the hills and slowly cashing out. Highly unlikely.. Number 2, which I'm going with, insiders selling their shares and early execution of warrants to secure seed funding for this joint venture. Insiders are confident about this venture that they are willing to risk their own money to fund this money making venture. Again, just my opinion.
