I would argue they should source alternative liquidity arrangements hence other possibilities. 

The best they could muster is a garbage offer selling reserves at essentially a cyclical low?

How about a merger? How about an equity infusion? How  about alternative financial arrangements. 

In this case shareholders get extinguished for a pittance and no possible upside participation. Utter disgrace. 
 

Hence the reason to shoot this down and ultimately the management that presented it.
