Second, in the revised JV, VSR was smart enough to remove a clause that had allowed IMG to bid and if twp, so-called independent opinions agreed, VSR was obligated. Now, VSR can turn down any and all bids and IMG would need to go hostile and get at least 51% of the shares to gain control.
VSR can't sell the project but they can sell themselves to another company as a whole, or spin out other holdings and then sell VSR with only Nelligan in it to someone else. The buyer would inherit the 25% and the 1% NSR, subject to going down to 25% if IMG does Feasibility study. I believe sometime in 2022 also has a special clause where VSR can actually buy back IMGs interest if certain condtions weren't met
