18. COMMITMENTS AND CONTINGENCIES

In connection with the Transaction described in Note 19, should the Company subsequently achieve a market capitalization of $100 million, an aggregate amount of $3 million shall be paid to GKAT Inc. and First Wellington Securities Inc. The payments to GKAT Inc. and Frist Wellington Securities Inc. will be $1.5 million each, for the aggregate amount of $3 million. Such payments are to be made net of taxes to those recipients.
