RE:RE:RE:RE:InsidersWhen restricted share units vest the beneficiary has to pay income taxes immediately. This is accomplished by the co. withholding part of the shares to be issued and selling them in open market to raise the cash to be remitted to Revenue Canada.

The disposition of the securities was for payment of a tax liability by delivering or withholding securities incident to the receipt of securities issued, as result of vesting RSUs.

People who any concerns should refer to the minutes of the AGM back in June when the company's LTIP was approved by the board. Here's a link, start reading about the LTIP at page 15:

https://thevalenscompany.com/wp-content/uploads/2020/05/Valens-Circular-2020-AGM.pdf

The recent flurry of activity is due to the LTIP. This is the first time the company has had an LTIP rolled out to all employees across the company. It's an attempt to retain top talent, but also provide an incentive for employees to contribute towards share-holder value. It's part of the compensation package at Valens, and is why I say the employees at Valens have at least as much reason to see this stock go up as anyone on this board (except maybe me - LOL!!)

What is an LTIP?

A long-term incentive plan (LTIP) is a company policy that rewards employees for reaching specific goals that lead to increased shareholder value.

A long-term incentive plan (LTIP), while geared toward employees, is really a function of the business itself striving for long-term growth. When objectives in a company's growth plan match those of the company's LTIP, key employees know which performance factors to focus on for improving the business and earning more personal compensation.

The incentive plan helps retain top talent in a highly competitive work environment as the business continues evolving in predetermined and potentially lucrative directions.
