Why is Mr. Pascali the sole shareholder and not PYR the corporation?

It's Pyrogenesis, but set up as a shell company with a different name and address out of the USA, to allow for easier business with countries that were (at the time) having political differences with Canada -- Saudi Arabia, in that specific case, to sell them the Drosrite system.

Made PYR $25mm+ by doing that.
