I think the news release specifically stated that even if the Preferred voted against the "merger", the merger will go ahead, they don't need their vote.

That's a good question. Probably to have an air of legitimacy. They ask for a vote. Doesn't mean they need or don't need the vote. It's like a referendum. The parliament coulp pass a law but prefer to have the peoples opinion on it
