As a consultant you can be paid in cash or shares. If you think the company will tank take the cash. If you think they're going to do well take the share value equivalent and wait. 

The company has no instituational debt/convertables/substantial draw on lines of credit. My guess is it's for whoever help setup the PP.  IR will likely have specifics if you ask.
