In which case there wouldnt be an ethical dilemma as obv management feels they need every dollar available to execute their plans.

Wouldn't that be some form of front-running? At the expense of fellow shareholders? If the CEO thinks the SP is a deal, doesn't his fiduciary duty to shareholders call him let the company buy back shares first? I'm not a lawyer but I'm pretty sure there are rules surrounding this potential coarse of events, and if not the optics would look horrible. Just saying...
