BIDCO proposal

BIDCO proposalHere is what I'm understanding of the stalking horse bid;

BIDCO is buying UR for $69.3M (i.e. all assets) which take the form of:

1 M cash
11,7M -debt to SADI
20.5M - Land O Lakeds debt
36.1M - in the form of 35% of BIDCO equity to secured lenders
69.3M

What is not clear to me, is who gets the remaining 65% equity in BIDCO?
