SIR Royalty Income Fund (the Fund) holds investment in SIR Corp (SIR). The Funds' investment, SIR is engaged in the business of owning and operating full-service restaurants in Canada. SIR has concept restaurant brands, including Jack Astor’s Bar and Grill, Scaddabush Italian Kitchen & Bar, and Canyon Creek Chop House, signature restaurant brands, such as Reds Wine Tavern, Reds Midtown Tavern, Reds Square One, and The Loose Moose, which are used by SIR under a license agreement with SIR Royalty Limited Partnership (the Partnership. The Fund receives distribution income from its investment in the Partnership and interest income from the SIR Loan. The Fund indirectly participates in the revenues generated under the License and Royalty Agreement through its Investment in the Partnership.

That would allow current shareholders participating in some upside for a certain period, but allows SIR (or another buyer) to get their hands on the shares now, without paying a large amount upfront.

Let's say, for the sake of argument, $5 now and a max of $3 spread over the next 5 years.


Interesting concept but I dont really think that will work with SIR as their approach was fully opportunistic and they probably thus have little interest in bumping their bid by a third and giving upside.  As well, we don't know who is backing their potential bid......could well be a non-bank that is providing convertible debt to participate in upside and would not be interested in sharing that upside.
