The only things that count as "non disclosure of material information" is if
1. Something fundamental has changed (ex biotech company announces that "phase 2 is going amazing" then a few days later test subjects start dying off like flies and they probably have to stop the trial.
2. They are disclosing material information privately to select individuals but not publicly.
That's it. Even a large single order , but covered under a proper CA/NDA (and I think even without) needs not be disclosed. Of course since he said they would disclose any "material deals" then it falls under The Dr Seuss Doctirne " say what you do and do what you say". Even then yes a material order would be a big contract not the cumalitve $ value of many smaller sales
