Serious question.  


The quickest and easiest way to go public is to merg with a already listed company. Going public the other way is time consuming and costly.  With a merg with MRS they can go public and also have the benefits of aquiring the financials of MRS. If I am not wrong ADS tried to aggressively aquire MRS in past by doing everything to drive the price down but failed..
