RE:TBEI believe it will be up to a prospective purchaser to approach the shareholders on a deal directly. They would probably make some sort of offer through a offer sheet sent to shareholders. My guess is that they would approach large shareholders informally to ensure the deal would be accepted by 2/3 of shareholders also as to not waste their time.
