CEO’s Compensation

I'm hearing contradictory information so please chime in if you know with a reasonable degree of certainty. 

This is in regards to our CEO Beena's compensation. I know in large corporations, like the ones listed on exchanges, CEO's or upper management usually get a package comprised of cash and stock options. I'm hearing that Beena also gets share-based compensation, somewhere around 2 million shares. Is this information accurate?  If yes, then I don't see the point of her adding any more if she so chooses.
