IPO and Merge on the same day ?

Hi. Regarding the soon to come merge with Lion, how is this going to work exactly ? Will lion post the IPO and at the exact same time the 2 companies will merge that same day ? 

how will lion decide how many shares of NGA will get you 1 share of lion .... ?  I guess the price of IPO will dictate that ? 

Iyo what is the probable date for the merge ? Are we talking days , weeks or months ?
