Action ! Noranda

Action ! NorandaHi everyones, i'm thinking of reviving Action ! Noranda.

At the peak in 2018, we had nearly 1 M shares involved.

But in the year that follow, i realized that i was the only one that had this project on his shoulder, my personal situation was unstable and my quantity of shares (2000) was small for the time involved. When dividend restarted, the support i had from shareholders was way less intense and i did put the organization in a sleep state, waiting.

Now, my quantity of shares still low but my personal situation did fix himself. I'm also seek for an contribution from the so called Extract Capital and maybe afterward, Polar AMP.

For a quick remenber, the goal was to reduce Glencore undue influence to the quantity of share they do own. So, not removing Glencore, simply get them the space they DO own, not more, not less as EVERY shareholder should.

To do soo, the SGM way was selected, back to 2018, we had nearly 20 % of this goal archived.

There is the questions that was found usefull back then :

Question in SGM :

Q1 : Do you agree to ask our directors to modify our Trust Indenture and other legal documents so that our board of directors will be composed of a multiple of 10 members (For explanation, you always have 10-20-30-etc members of the board of directors to make it easy and fair to the board of directors to be representative of shares ownership.) ?

Q2 : Do you agree to ask our directors to modify our Trust Indenture and other legal documents so that everyone that owns at least 10 % of Noranda IF has a right to have at least 1 dependent director on the board but couldn't in any way have higher percentage of representation than what he owns. All other members will be independent directors (For explanation, in this case, if you do own 19.999999 % of outstanding shares (9,997,994), you still have 1 director / 10 directors but you have 3 directors / 20 directors .) ?

Q3 : (Q4 invalid Q3) Do you agree to ask our directors to modify our Trust Indenture and other legal documents so as to allow a change from a Trust to a regular company ?

Q4 : (Q3 invalid Q4) Do you agree to ask our directors to modify our Trust Indenture and other legal documents so as to allow a change of our Manager from CEZinc (Canadian Electrolytic Zinc Limited) controlled exclusively by Glencore to QEZinc (Quebec Electrolytic Zinc) controlled exclusively by Noranda IF ?

Q5 : (Q3 or Q4 must pass for this question to be receivable.) Do you agree to keep all staff of CEZinc with their current positions and privileges in the new entity if they want to ?

Q6 : Do you agree that in our new situation, the dividend should be a fixed percentage of profit in every quarter paid monthly ?

Q7 : (Q6 must pass for this question to be receivable.) What percentage of distribution do you want (Choice in 5 % increments from 0 to 90 %) ?

Sincerely,

ric
