Someone was asking for an explanation of the participation warrants and stuff so I gave my $.02 worth. Glad FredFud found it worth reading, but it's just an amateur's take on it. Your mileage may vary.

New Gold bought 14.9% of Harte's shares in a PP which triggered some things in Harte's agreement with Appian. Appian had a right to participate in any PP in order to maintain their percentage, as well as a right to claim 35% of the proceeds of any PP towards repayment of the debt they hold. In exchange for not exercising those rights, Harte gave Appian enough warrants to maintain their ownership percentage (if exercised). But if Appian exercises those warrants, that will dilute New Gold's 14.9% stake, so Harte gave New Gold enough warrants to maintain their position in the event that Appian exercises.
Basically, they just made sure that all of the dilution this deal represents will be borne by the other investors."
