Number of shares:  20 million common shares

Purchase price:  10 cents per common share

Warrants:  20 million share purchase warrants to purchase 20 million shares

Warrant exercise price:  15 cents for a period of 18 months

Number of placees:   six placees

Insider:  A.C.N. 117 402 838 Pty. Ltd., 15 million
