Americas Gold and Silver Corporation is a Canada-based precious metals mining company with multiple assets in North America. The Company owns and operates the Cosala Operations in Sinaloa, Mexico, manages the 60%-owned Galena Complex in Idaho, United States, and is re-evaluating the Relief Canyon mine in Nevada, United States. The Company also owns the San Felipe development project in Sonora, Mexico. The 100%-owned Cosala Operations are located in the state of Sinaloa, Mexico and consist of about 67 mining concessions that cover approximately 19,385 hectares (ha). ROXG shareholders have not voted in favor of the Fortuna Silver acquisition offer which prices Roxgold's gold ounces in the ground at $420 USD/oz, so the offer amounts to a steal.

In the case of a merger of USAS with ORV, USAS could offer up to 0.9 share of USAS for ORV and if Fabulosa went along with this deal, ORVMF would be repriced at $1.93 USD per share.  As an ORV shareholder, would I vote in favor of my shares being repriced by a factor of 8 to the upside?

Of course, that is a no brainer!

Orvana's value in terms of the 5 year future production is on the order of $1.89 billion USD, so if USAS could acquire it for $263 million in an all share deal, it would provide geopolitical diversification to USAS and bolt on a high grade underground gold mine in Spain and provide USAS with an accretive acquisition where the value of Orvana's future production is worth 7 times the acquistion price.
