Red Cloud via Mail: Gran Colombia Gold Corp. (TSX:GCM, BUY, C$17.00 target, Taylor Combaluzier) announced that both its shareholders and those of Gold X Mining Corp. (TSXV:GLDX, Not Rated) have approved the Gold X acquisition at their respective shareholder meetings. Under the agreement, GCM is expected to acquire all of the issued and outstanding common shares of GLDX it does not already own by issuing 0.6948 GCM shares per GLDX share. This all-share deal would value GLDX at C$4.10/sh or ~C$315M on a 100% and fully diluted ITM basis. GLDX expects to apply for final court approval on or about June 1, 2021. Furthermore, the transaction is anticipated to close on June 4, 2021. We continue to view this transaction positively as it would provide GCM with a long-lived asset with excellent exploration potential in a familiar geographic region. As per our initial analysis, the Gold X transaction should be accretive to our valuation of GCM. We plan to update our estimates upon closing of the transaction.
