Doesn't it have to be within a certain percentage price wise of the placement price under the SEC regulations to get the financing closed? Or was I misinformed? I didn't think the SEC would accept a financing at a $1 if the price of the stock was say $1.50

mega, the SEC is an American regulator.

Canada's securities industry is presided over by provincial / territorial bodies with the Canadian Securities Administration  trying to bring them together on various standards / regulations.

I don't know if there are any regulations regarding a maxium allowable spread between the share issue price and the current share price, but as I explained in another post today on this BB, I think the deal is reasonable given the rather unique circumstances of the past two days.
