Why Accept Ppl offer?

I am confused. Can someone please tell me why I should accept the PPL offer?

With PPL share price at about $40, their offer is $20 per IPL share; 0.50 x 40

With BIPC Share price at about $96.80, their offer is $21.78; .225 x 96.80

IPL share are trading at $20.28.

It seems to me that the PPL offer is the weakest offer, especially when I can sell IPL at market price or accept the BIPC offer.
