Because AGG does not generate any income and it will take 16-18 months to build the plant, convertible debenture financing seems appropriate to me.

Robex's participation in the capital of AGG would finance the start of work related to the construction of the plant while the debenture would take over and finalize the work.

The amounts of interest due on the debenture could thus be paid from the first income generated by the operation of Kobada. Taking the example of a debenture of $ 100,000,000 at 10% interest and a maturity of 5 years, we can imagine that AGG would be able to repay $ 10,000,000 in interest each year. The entire loan could be repaid after 5 years, or before, without having to issue new shares.

In such a scenario, we can see that the equity participation would increase the number of shares in circulation while the debenture would theoretically be inconsequential. I emphasize the theoretical aspect because in the event that AGG is not able to honor the agreement, they may be required to repay the creditor with shares rather than cash.

In such a context, compliance with the rules related to the debenture would be the sole responsibility of the AGG team. Whatever the cause, if the income from Kobada were different in time or number, the consequences on stock dilution could be significant. Therefore, respecting budgets, deadlines and anticipated income are very important.

In conclusion, the convertible debenture is a good means of financing as long as the terms are consistent, realistic and everything is going well.

In addition, I believe that bank financing will one day be possible but without stable income, this form of financing will not be available. After 4-8 quarters, this will no longer be a problem.

Finally, I believe that these negotiations could be concluded in September or October. This estimate is of course based mainly on my impressions. There are still a lot of "IFs" but at this point I think you have to be optimistic, but you have to be careful.
