Spin off is complete horse $@%*. I would be very suprised to see anything of actual merit here. There is nothing special to be seen, HVAC, lol.
And of the holding we will recieve a tiny percentage of the ownership. No one ever gived out freebies! They just needed an easy way to list this garbage company.
